What's included in Fortress Managed LLC?
Fortress Managed LLC includes filing in your selected U.S. jurisdiction, registered-agent coordination, EIN workflow, and — during your paid one-year term — the state-required maintenance our formation partner handles (registered-agent renewal, annual reports where they can file them, and other required partner filings). Four startup documents are delivered digitally to your dashboard, each one as soon as it is ready: your state's formation document (Articles of Organization or Certificate of Formation), a template operating agreement, your initial resolutions, and your EIN letter (IRS Notice CP575). If any of those is unavailable for your state or situation, we will tell you. Taxes, publication, and filings the partner does not handle stay outside that term. Fortress Coach™ is an optional monthly subscription at $99/mo.
How much does Fortress Managed LLC cost?
Fortress Managed LLC is $999 for each one-year term across U.S. jurisdictions. It includes the standard state filing fee, registered-agent coordination, EIN workflow, a template operating agreement, and — during that paid term — the state-required maintenance our formation partner handles, including annual reports where they can file them. Before the term ends, Fortress offers the next term for your approval; it does not renew automatically. Fortress Coach™ is optional at $99/mo.
Is filing included in the price?
Yes. The flat $999 package includes the standard state filing fee for your selected U.S. jurisdiction, plus formation filing support, the EIN workflow, and registered-agent coordination. Expedited, nonstandard, and Series LLC fees are separate when applicable.
Is Fortress Coach™ included or a separate fee?
Fortress Coach™ is an optional deeper compliance support layer at $99/mo.
Do you offer one-time filing only?
No. Fortress provides a managed formation and compliance service for a one-year term. Before that term ends, we offer the next term for your separate approval and payment; it does not renew automatically.
Can I form my LLC in a state other than Wyoming? Which state should I choose?
Yes — on Fortress Managed LLC. Select any U.S. state or the District of Columbia in the application. Fortress Managed LLC is a flat $999 across jurisdictions and includes the standard state filing fee, registered-agent coordination, and EIN workflow; expedited, nonstandard, and Series LLC fees are separate. Founder Wyoming at $499 includes Wyoming LLC formation only, because some states charge more than $500 to file. Non-Wyoming Managed LLC filings receive a watched operator verification before transmission. Choose a jurisdiction based on where you operate and your qualified legal or tax advisor's guidance.
If I form my LLC in Wyoming, do I need to register it in my home state?
It depends on where your LLC actually conducts business, not just where it's formed. Opening a bank account alone generally does not, by itself, force foreign qualification in another state—but rules vary. If you (or your members, managers, or employees) conduct the LLC's business, keep a physical presence, or hold real property in another state — including operating it from your home state — that state often requires registration as a foreign LLC (an extra filing and fee) and may impose its own taxes. Some states (for example, California) can treat an LLC as doing business there simply because it is run from within the state. Choosing your home state at formation can avoid that second registration when you operate there. This is general information, not legal or tax advice.
What is your refund policy?
Formation service fees are non-refundable once your application has been submitted for filing, since the work and state filing have begun. Before submission, refund requests are considered case by case and remain at Fortress Formations' sole discretion; only the owner of Fortress Formations may approve and process a refund, and contacting support does not guarantee approval. Strategy consultation fees are non-refundable except where a refund is required by applicable law, but if you purchase a paid formation package within 30 days of your consultation, your $99 consultation fee is applied as a credit toward that package. Government filing fees are non-refundable. See our Terms of Service for full details.
Does it cost more to form in a state other than Wyoming?
Fortress Managed LLC is a flat $999 for one year for every U.S. state and DC and includes that state's standard formation filing fee. Founder Wyoming at $499 is Wyoming formation only. Some state-specific requirements or services are outside the standard package, and state or third-party fees may be separate—for example, New York publication costs or California's annual franchise tax. Expedited processing, nonstandard filings, and Series LLC services may also cost extra or may not be available. Availability and timing vary by state. If Fortress offers a separately priced service, we will disclose our added charge before you authorize it; Fortress does not necessarily perform every state-specific step.
Does Founder Wyoming include formation in any state?
No. Founder Wyoming at $499 includes Wyoming LLC formation only. Fortress Managed LLC at $999 is the all-state offer and includes the standard state filing fee. Some states cost more than $500 to file, so Founder cannot cover every jurisdiction.
Should I form an LLC at all?
An LLC is often the first administrative step when you hold meaningful assets, operate a business, or take client or platform risk in your own name. It does not by itself cut federal income tax, hide you from banks, or make you lawsuit-proof. If you have no business, no assets, and no plan to hold either, skip it. Fortress files and maintains the entity; a lawyer or CPA tells you whether you need one.
What is the total first-year cost, all-in?
Fortress Managed LLC is $999 for the first year. That includes the standard state formation fee, registered-agent coordination, EIN workflow, and a template operating agreement. Not included unless separately quoted: expedite, Series cells, nonstandard filings, New York publication, California franchise tax, foreign qualification in a second state, amendments, Fortress Coach at $99/mo, and paid consultations. The next term is $999 with fresh approval if you keep the managed service.
Do I need a consultation before I pay?
No. Most buyers should check out, finish intake, and use this FAQ. Book a paid consultation only if you have a multi-entity, Series, conversion, or no-SSN question we cannot answer in writing. We still will not give legal or tax advice on the call.
How is this different from a cheap filing plus later bookkeeping or tax add-ons?
Some companies sell a low formation fee plus state charges, then upsell bookkeeping, tax filing, and a virtual mailbox. Fortress Managed LLC is one flat annual number for formation and the standard compliance loop. We do not file your federal business tax return or reconcile store payouts. If you need a bookkeeper or tax preparer, hire one alongside us.
How is this different from a wealth-firm digital-asset LLC?
Wealth firms often pair a Wyoming LLC with counsel-coordinated documents and an advisory relationship at a much higher price. Fortress is administrative: any U.S. state or DC, a template operating agreement, registered-agent coordination, and the EIN workflow for $999 for one year. Bring your own attorney if you need wallet-control, trust, or succession language reviewed for your facts.
When should I not form an LLC?
Skip the filing if you have no separate activity, no plan to keep money and records apart from yourself, or you already know you need a different entity for investors. An LLC is a state filing plus formalities, not a substitute for legal or tax advice. Fortress files and administers the LLC you choose. We do not decide whether you should form one. Talk to counsel or a CPA first when the choice is not obvious.
What is foreign qualification?
Forming in one state and actually doing business in another can require a separate foreign-LLC registration, extra fees, and that state's own taxes. Doing business is a legal test — opening a bank account by itself usually is not enough, but a home office, employees, or real property often is. Fortress Managed LLC forms the company in the state you pick at checkout. Extra foreign filings are not inside $999 unless we list them as a separate service. Why Fortress instead of LegalZoom?
LegalZoom is a general DIY filing platform. Fortress Formations provides a managed LLC formation and compliance service for customers who want guided intake, filing support, and an annual workflow in their selected U.S. jurisdiction. Managed LLC terms are one-time purchases, not auto-renewing subscriptions.
How is this different from DIY filing?
DIY generally covers only the state filing. Fortress provides guided intake, prepared documents, filing support, and ongoing compliance tracking. You remain responsible for providing accurate information, meeting obligations outside our service scope, and obtaining legal or tax advice when needed. No formation service can guarantee compliance, good standing, or a particular legal outcome.
What's included in the Fortress Managed LLC versus just Registered Agent service?
Fortress Managed LLC ($999 for one year) covers LLC formation in your selected U.S. jurisdiction (standard state filing fee included), registered-agent coordination, EIN workflow, a template operating agreement, and — during that paid term — the state-required maintenance our formation partner handles (registered-agent renewal, annual reports where they can file them, and other required partner filings). That is a managed formation-and-compliance package—not a bare registered-agent-only product. Registered-agent-only service covers the registered address and statutory notices, and nothing beyond that. Your dashboard can regenerate the included operating agreement template whenever your details change. Fortress offers the next Managed term separately; Fortress Coach™ is the optional monthly subscription for deeper ongoing support. Everything Fortress produces is a template, since Fortress is not a law firm.
LLC Structure & Trusts
Can the LLC be owned by another entity?
Yes. We support individual- and entity-owned LLCs.
Can an LLC have more than one member?
Yes. Multi-member LLCs are allowed, but they add tax complexity. For most clients, a single-member LLC is simpler. Consult a tax professional for guidance.
Do you provide estate-planning documents?
No. Fortress Formations handles LLC formation and compliance support. Estate-planning documents and legal advice must be handled by qualified professionals outside the online package.
Do you provide a template operating agreement?
Yes. Fortress Managed LLC includes a printable operating agreement template prefilled with your formation details (name, members, ownership percentages). It is a template, not reviewed by an attorney for your company and not legal advice. You can regenerate it from your dashboard if your members or ownership change. It stays a template either way, not attorney-drafted work; for a document reviewed against your specific situation, use a licensed attorney.
Can you form a Series LLC?
Where Series LLCs are available, we can help form a parent (master) LLC; each series typically requires separate filings and additional government and service fees not included in the standard package. Series LLC availability and rules vary by state, and Fortress does not guarantee series-level liability segregation. Consult a licensed attorney for structure advice.
Do I really need an Operating Agreement?
An operating agreement is strongly recommended: it documents ownership, decision-making, and the separation between you and the company. Banks often request one. We include a printable operating agreement template prefilled with your formation details; it is a template, not reviewed by an attorney for your company and not legal advice. Whether you need a customized agreement depends on your facts—ask a licensed attorney when appropriate.
Can I transfer ownership later?
Yes. You can add or remove members and transfer ownership interests later. We can help with the required documents and updates for a service fee, and we recommend confirming tax implications with a professional.
How is an LLC managed — members or a manager?
States let you choose member-managed or manager-managed. That choice is recorded in the articles and/or the operating agreement. Member-managed means the owners run day-to-day decisions. Manager-managed names one or more managers who may or may not be members. Fortress files the option you specify and includes a template operating agreement. We do not draft counsel-reviewed management language. Ask a licensed attorney if you have partners or investors.
Can I form a single-member LLC?
Yes. Every U.S. state we form in allows a single-member LLC. Tax treatment and how courts treat a one-owner company are fact-specific. We file single-member when you choose it. We do not decide court outcomes. This is general information, not legal or tax advice.
Should I pick an LLC, an S-corp, or a C-corp?
Fortress Managed LLC is an LLC formation and compliance service purchased for one year at a time. An S-corp is a tax election, not a Secretary of State entity type. A C-corp is a different filing. We will not pick your tax classification. Compare the entity paths at a high level with a CPA, then choose the formation path that fits your situation.
Do I have to issue stock?
No. An LLC issues membership interests, not stock. Corporations issue shares. The Fortress LLC package does not include a stock ledger product. Managed corporation formation is a separate $999 one-year offer; Nevada corporations need a consultation. Series, PLLC, PC, and benefit corporations are not in this offer. See FAQ 8.7.
Process & Fulfillment
How does the process work after I select a package?
Complete the secure intake and choose your state. We prepare the filing, verify non-Wyoming transmissions through the watched operator hold, and submit when the state-specific filing is ready. State processing timelines vary.
How long does LLC formation take?
State processing times vary widely by jurisdiction and are never guaranteed. Some states (including Wyoming) often process relatively quickly; others take longer or add extra steps. We estimate filing submission within about 2–4 business days after a complete intake and any required operator verification—that submission estimate is not guaranteed. Your EIN follows your state filing, and once the request is with the IRS the timing is theirs—it is not something we can shorten. You do not need to file anything with the IRS yourself—the EIN letter is posted to your dashboard as soon as it reaches us, and if it runs longer than expected, contact us and we will follow up on your behalf. EIN timing varies most for international applicants without an SSN/ITIN.
Who handles compliance support?
Formation filings are completed through our professional formation partners. During your paid Fortress Managed LLC term, we handle the state-required maintenance those partners can file — registered-agent renewal, annual reports where they can file them, and other required partner filings. Fortress Coach™ is an optional deeper support layer if you add it.
Who provides legal or estate-planning advice?
Fortress Formations does not provide legal, tax, or estate-planning advice. Consult qualified professionals for advice specific to your situation.
What if I need corrections or amendments after filing?
We can assist with amendments or dissolutions for an additional service fee, and state fees may apply.
What happens after I pay?
First, you complete a short application (your LLC name choices, business purpose, member details, and the responsible party's SSN or ITIN, which our application currently requires because the same submission starts your EIN filing). We review it, then prepare and submit your filing to the state—estimated within 2–4 business days after a complete intake and the required operator verification; this is not guaranteed. You'll get email updates at each milestone. Four documents are included, each posted to your dashboard as soon as it is ready rather than all at once: your state's formation document (Articles of Organization or Certificate of Formation), a template operating agreement, your initial resolutions, and your EIN letter (IRS Notice CP575). If any of those is unavailable for your state or situation, we will tell you. The EIN follows your state filing and is posted as soon as it reaches us. Do some states have extra requirements or take longer than others?
Yes. Some states add steps—for example, New York requires newspaper publication, and California requires an initial Statement of Information plus an annual franchise tax. Requirements, service availability, and processing times vary by state. Some steps may be your responsibility or require a separate provider; Fortress does not handle every requirement in every state. State and third-party fees can be separate from the standard package, and we will disclose any separate Fortress service charge before you authorize it. What if a provider goes out of business?
Your LLC is formed with the state, not owned by any provider. If a partner changes, Fortress remains your point of contact and can move you to another professional provider without losing your LLC. We can also help you change your Registered Agent if needed.
How do I read my EIN letter (IRS Notice CP575)?
Your CP575 is the IRS confirmation notice for your EIN. A few things on it surprise people and are perfectly normal: a percent sign (%) in the address block is IRS shorthand for "in care of" and is not part of your company name; the Name Control is a short internal key the IRS derives from your entity name, so it will look truncated; and the address printed on the notice is the one carried on the filing record, which is often your registered agent's. The responsible-party line should list exactly one person—the individual you designated on the EIN application. If something on the notice is genuinely wrong, contact us and we will help you request a correction from the IRS. Corrections to details like name spelling, address, or responsible party normally keep the same EIN, though some changes to entity structure or ownership require a new one.
How do I know if my company name is available?
Name availability is a Secretary of State search in the formation state. A clear state-name result does not clear trademarks, domain names, or marketplace brands. We check the state name as part of filing. We do not run a trademark search or register a mark. If the name matters as a brand, talk to trademark counsel.
Renewals, Registered Agent & Support
Is Registered Agent service included?
Yes. Registered-agent coordination is included with Fortress Managed LLC during each paid one-year term. A registered agent provides a physical in-state address to receive official legal and government notices on behalf of your LLC.
What happens after year 1 with Registered Agent?
Before your paid term ends, we'll notify you so you can approve another Managed term, switch providers, or handle the renewal yourself. Fortress does not automatically charge the next term.
What does the annual renewal cover?
A separately approved Fortress Managed LLC term keeps registered-agent coordination in place and files the state-required maintenance our formation partner handles — including annual reports where they can file them — during that paid term. Taxes, publication, and filings the partner does not handle stay outside the term. Fortress Coach™ remains an optional monthly add-on. No service can guarantee good standing.
Can I cancel or choose not to renew?
Yes. There is no automatic renewal. If you do not approve and pay for a next term, service ends when the current paid term ends; you are then responsible for filings, registered-agent coverage, state fees, or dissolution.
Do you provide legal advice?
No. We provide administrative and compliance support only. Consult a licensed attorney for legal advice.
Why is annual compliance important?

Can I handle annual compliance filings myself?
Yes, after your paid term ends — or for a filing outside our formation partner's catalog. During a paid Managed term, the service includes filing the state-required maintenance the partner handles, including annual reports where they can file them. You remain responsible for accurate information and for obligations the partner does not handle (for example, some state taxes). No service can guarantee good standing.
What if I move to another state?
You may keep your existing LLC and register as a foreign LLC in your new state, or explore domestication/transfer options depending on the states involved. Fortress can assist with administrative filings for a service fee when offered; we do not provide legal advice on which path is right for you—consult a licensed attorney for jurisdiction strategy.
Can I switch Registered Agents later?
Yes. You can change your Registered Agent at any time with a simple state filing and fee. We can handle the change for you or you can switch on your own.
What happens if I don't maintain compliance?
Your LLC can lose good standing, be administratively dissolved, and you may face reinstatement fees. While Fortress Managed LLC is active, we file the state-required maintenance our formation partner handles; optional Fortress Coach™ can add deeper coordination. Outcomes still depend on timely, accurate information and state rules—nothing is guaranteed.
What mail does my registered agent handle?
Your registered agent receives service of process, state notices, and official legal correspondence for your LLC, and we email you when we receive them. Viewing that mail is unlimited — it is the whole purpose of the service. Registered agent service exists for legal and government correspondence, not for everyday business or personal mail.
Can I use the registered agent address for banking, Amazon, or account verification?
No. The registered agent address is for state records, statutory notices, and legal correspondence only. It is not a business mailing, banking, marketplace, insurance, package, or account-verification address. Use your own address for those. Mail sent to the registered agent address for those purposes may be refused, and verification mail from services like Amazon and Google is not accepted.
Do you offer mail scanning or a business mailing address?
No. The registered-agent address is for state records, statutory notices, and legal correspondence, and viewing those is unlimited. It is not a business mailing, banking, marketplace, insurance, package, or verification address. Up to three incidental ordinary pieces may be processed annually, but this is not a general mailbox service. If you need a business address with ongoing scanning and forwarding, use a dedicated virtual-mailbox provider.
How quickly will legal notices reach me?
When your registered agent receives a legal or state notice for your LLC, we notify you by email. Service-of-process and government deadlines can be short, so review each notice promptly. Fortress Formations does not provide legal advice; consult a licensed attorney about how to respond.
Why do I need a registered agent?
The formation state requires a street address in that state that can take service of process and official mail during business hours. Fortress coordinates a registered agent during your paid Managed term. That address is not a mailbox, Amazon address, or bank KYC address.
Crypto, wallets & privacy
Will my name be on the Wyoming public record?
Wyoming articles generally do not list members. The public record typically shows the company name, filing date, status, and registered agent. That is public-record privacy, not invisibility. Banks, exchanges, payment processors, title companies, and courts can still require your legal name.
Is a Wyoming LLC anonymous?
No useful company is anonymous to the government or to a counterparty doing identity checks. Wyoming can keep owners off the Secretary of State search. Your name can still appear on an EIN application, a bank file, a required federal report if one applies to you at the time, a lawsuit, or a mortgage. We do not sell invisibility.
Can a Wyoming LLC own a crypto wallet?
An LLC can be the legal owner of digital assets if the wallet or account is opened or documented in the LLC's name, or clearly contributed to it, and the operating agreement lets the manager control those assets. A personal seed phrase with LLC written in a note is not ownership. Keys show control; records show the owner. This is general information, not legal advice.
Does moving crypto from my personal account into the LLC create a taxable event?
A contribution of property to an entity you already own is often not treated as a sale — and it is often more complicated than that. Basis, disregarded versus partnership classification, mixed assets, and later distributions can change the analysis. Fortress does not decide this. Talk to a crypto-literate CPA before you move size.
Should the operating agreement list wallet addresses or device serials?
Usually no, or only on a private schedule you can update without restating the whole agreement. Addresses change and hardware gets replaced. Putting them in a widely circulated PDF creates a theft and amendment problem. Describe authority and recordkeeping; keep the inventory off the public internet. Can the LLC stake, use DeFi, or hold stablecoins?
Only if you decide the activity is allowed, the manager has authority, and you can record it for tax. Many banks and exchanges still treat this as high risk. Fortress does not operate validators or approve protocols. This is general information, not legal, tax, or investment advice.
Should a crypto LLC be manager-managed? Single-member or multi-member?
Manager-managed is common when you want a clear actor for banks and a clean succession story. Single-member is administratively simpler and is often disregarded for federal tax. Multi-member can change tax forms. We will file either; we will not choose for you. Ask a lawyer or CPA.
I already have an LLC in another state. Do I need a new Wyoming LLC?
You can keep the existing company, foreign-qualify it, form a new Wyoming parent, or look at conversion or domestication. None of those is one button. Mixing old personal wallets with a new Wyoming LLC without a contribution record creates a mess. Contact us before checkout if you need a conversion path; standard checkout is a new formation.
How do I fund the LLC with crypto?
A typical administrative picture — not tax advice — is: adopt the operating agreement, get the EIN, open any accounts in the LLC name, execute a contribution consent, move assets from a personal venue to an LLC-titled venue, and keep the transaction IDs plus a one-page ledger. Do not pay personal bills from the LLC wallet.
What records should a crypto LLC keep?
Formation documents, operating agreement, EIN letter, registered-agent notices, contribution and distribution consents, a private wallet or account inventory, annual-report receipts, and a clean split between personal and company activity. If you cannot explain a wallet to a CPA in fifteen minutes, the records are not done.
What happens if someone sues over coins titled to an LLC?
An LLC can separate holding-company claims from personal claims when formalities are real and the assets are actually the company's. It does not block every creditor, every family-law court, or every federal claim. Mixing personal and LLC coins is the fastest way to give a plaintiff a story. No outcome is guaranteed. Do I still have to file beneficial-ownership information?
Federal beneficial-ownership rules have changed more than once. Whether you must file depends on current law, entity type, and exemptions. Fortress does not file that report unless a future product says so. Verify the current FinCEN rules for your facts instead of trusting an older article — including ours.
After formation & formalities
What happens in the first two weeks after I pay?
You finish intake (name choices, purpose, members, responsible-party ID). We prepare and submit to the state after a complete packet; non-Wyoming filings get an extra operator check. State approval runs on the state's clock. The EIN request follows the approved entity. Articles, the template operating agreement, and the EIN letter land in the dashboard as each is ready.
What should I do after the documents arrive?
Adopt the operating agreement, store the packet, open accounts in the LLC name, move only what you intend to contribute, put registered-agent emails in a folder you actually read, and calendar the annual report. Optional: have an attorney review the template if you have partners, investors, or unusual assets.
What actually keeps limited liability useful?
Separate wallets and bank accounts, a signed operating agreement, no personal bills on company accounts, written consents for big decisions, a current registered agent, a current annual report, and honest records. A stamped article with your grocery card on the LLC bank login is not a fortress. This is general information, not legal advice.
Do I need meeting minutes for a single-member LLC?
Many people skip them; many attorneys still want written consents for account openings, large transfers, adding members, or dissolving. Cheap insurance. We do not currently force a minutes product. This is general information, not legal advice.
Can I be my own registered agent?
In some states, if you have a physical in-state street address and will be there during business hours. Most remote and non-U.S. owners should not. Included registered-agent coordination exists so you do not use your house and miss a summons.
If I cancel, do I keep the LLC?
Yes. The LLC remains yours. The state maintains its filing record; Fortress does not own the company. After cancel you must hire another registered agent, or become one if the state allows, and file your own annual reports — or dissolve.
Do you form C-corps, nonprofits, or benefit corporations?
Yes. Fortress offers Managed LLC, corporation, and nonprofit formation. Managed formation is $999 for a one-year prepaid term in available U.S. states and DC. Nevada corporation formation is consultation-only. Founder Wyoming LLC is $499 for a one-year term; Coach is optional and is not included with Founder. Series, PLLC, PC, benefit corporations, and à-la-carte filing remain unavailable.
Are bank accounts or exchange listings included in Fortress Managed LLC?
No. Anyone who does is overselling. We provide administrative formation and compliance support. Outcomes depend on your facts, the institution, and the law.
What records should I keep after formation?
A typical set: articles, operating agreement, EIN letter, registered-agent notices, membership ledger, major written consents, and tax filings. Fortress stores the formation packet we produce. Day-to-day minutes and books are yours. Optional Fortress Coach can walk the habit; we are not your lawyer. This is general information, not legal advice.
Are LLCs required to hold member or manager meetings?

I run a home-based business. Do I still form an LLC?
