Annual-Report Deadlines and Inc Authority's 60-Day Line

Annual-report filings sit on a calendar that starts the month the Articles of Organization were accepted. The form is a later filing, not a leftover of formation. Inc Authority's Wyoming how-to page prints this sentence as their line: "Wyoming can administratively dissolve your LLC just 60 days after a missed deadline." That is their line. This draft quotes it. This draft does not turn it into a Fortress legal outcome, a Fortress promise, or a Fortress timeline.

A filing desk keeps three objects separate: the annual-report form, the $60 minimum fee line those pages quote as a Wyoming Secretary of State / license-tax minimum, and a competitor's dissolve sentence. Mixing them produces a fake legal result. Keeping them separate produces a usable checklist.

The annual-report form

Wyoming asks each domestic LLC to file an annual report. Competitor pages in the memo, including Northwest and Inc Authority, describe the due date as the first day of the anniversary month. If Articles were accepted in March, their pages say the report is due by March 1 in later years. Confirm the live due date on the Secretary of State's record for that entity. Do not invent a fixed January deadline.

The form updates the state's file: name, addresses, registered-agent block, and the asset line used for the license-tax calculation. Northwest's Wyoming page describes the fee as a $60 minimum when assets are under $300,000, and $0.0002 per dollar of assets above that. Inc Authority describes the same formula as "$60 or $0.0002 multiplied by the total value of your Wyoming-based assets, whichever is greater." Those are their restatements of a state fee line. They are not Fortress invoices.

File the report through the same family of state portals used for Articles. The report is a form. Submit is a later click. Acceptance is the state's act, not a provider slogan.

Inc Authority's 60-day sentence, kept as theirs

Inc Authority writes, on the same how-to page: "Wyoming can administratively dissolve your LLC just 60 days after a missed deadline, faster than nearly every other state." They repeat a close variant: "Wyoming can administratively dissolve your LLC just 60 days after a missed annual report deadline, faster than most states." They attach a reinstatement aside ("Reinstatement requires $100 plus all back fees") as their aside.

Quote those sentences as Inc Authority copy. Do not restate them as "Fortress will keep you out of that window." Do not restate them as "miss one date and the company is gone." Do not restate them as a Fortress legal opinion. A competitor line can be useful as a reminder to put the anniversary month on a calendar. It cannot be useful as a Fortress outcome.

Other pages in the same memo neighborhood describe administrative paths in their own words. This draft does not merge those words into one clock. It keeps Inc Authority's 60-day line labeled as Inc Authority.

The $60 minimum, cited as a state / competitor line

The memo allows the $60 annual-report minimum to be quoted as a Wyoming SOS fact cited from competitor or state lines. Inc Authority and Northwest both print $60 as the floor. That is the number this draft uses. It does not treat $60 as a Fortress subscription.

The $60 line is the report's license-tax floor on those pages. The Articles fee is a separate $100 line. A sales-tax license, if it applies, is a third $60 line on WYIFS. Three forms, three fees, three calendars. The annual-report $60 does not prepay Articles. Articles do not prepay the report.

If asset value on the report is high enough that the $0.0002 formula exceeds $60, those competitor pages say the higher number applies. A filing desk reads the asset block on the form instead of assuming the floor.

What a filing desk does with a missed-date warning

Put the anniversary month on a calendar the day the Articles acceptance comes back. That is a records habit, not a result promise. Keep the accepted Articles, the agent appointment, and the last report in one folder so the next form can be filled without guessing.

If a date is close, the work is the form: login, asset line, addresses, agent block, fee, submit. If a date is already past, the work is still a form, plus whatever the live Secretary of State record shows for that entity. This draft does not narrate a cure path as a Fortress product. It does not promise a status after a late submit.

Fortress commercial packets, when you want a managed path instead of a solo portal session, are listed on /pricing. This draft does not restate SKUs.

What Fortress will and will not say

Fortress files, forms, and submits. This draft will not convert Inc Authority's 60-day sentence into a Fortress legal outcome. It will not promise that a report was accepted. It will not promise a standing status. It will not promise that a reminder email equals a filed report.

What it will say: the annual report is a form with a quoted $60 minimum on the competitor pages in the memo. Inc Authority's dissolve-in-60-days sentence is their sentence. Live paths sit on /pricing.
