Wyoming Articles of Organization ask whether the limited liability company will be member-managed or manager-managed. That choice appears on the Articles you prepare and submit to the Wyoming Secretary of State. It is a filing field, not a Fortress product label, and this page does not tell you which option to choose. The goal here is narrower: identify the field, prepare the entry, review the form, and submit a consistent packet.

Start with the exact Articles field

Open the current Wyoming Articles form or the current WyoBiz filing flow before drafting your answer. Find the management section and read the labels shown there. Do not rely on a saved screenshot, an old blog post, or a prior company's form. The state can revise a form or change the order of fields.

The filing desk should capture the selected label exactly as it appears on the current form. Put that selection in the same preparation notes as the proposed LLC name, the registered agent information, the registered office street address, and the organizer information. Keeping those entries together makes it easier to review the full Articles packet before submission.

What member-managed means on the filing

Selecting member-managed tells the filing record that management is assigned to the LLC's members. For filing preparation, the practical task is to mark the member-managed choice on the Articles and keep the selection consistent across the packet materials you control.

Do not add extra explanations to a field that only asks for a selection. Do not insert a commercial service name where the form asks for a management choice. If the online portal uses a radio button, select the current label. If the paper Articles use a checkbox or another mark, follow the current form instructions and make the mark legible.

Before submitting, compare the selected choice with the instruction you received for that LLC. If the instruction is missing, unclear, or conflicts with another document in the preparation file, stop the filing. Get a corrected instruction before you click submit or mail the packet. The filing desk should not guess.

What manager-managed means on the filing

Selecting manager-managed tells the filing record that management is assigned to one or more managers. The filing task is still limited: mark the manager-managed choice exactly where the current Articles request it and complete any related entry that the current form requires.

Do not assume that another company's Articles show the fields required for this company. Do not copy a manager name, address, or title from an email without checking it against the approved filing instructions. If the current form requests additional manager information, transcribe that information carefully. If it does not request that information, do not invent a new attachment merely because an older example included one.

A manager-managed selection is not the same as the organizer signature. The organizer is the person or entity submitting the Articles. The management selection is a separate part of the form. Review each block on its own, then review the completed Articles as one packet.

Build a clean filing worksheet

A short worksheet can prevent the management field from being lost among the other Articles entries. Record:

  1. The exact proposed LLC name entered on the Articles.
  2. The registered agent name shown in the filing instructions.
  3. The Wyoming registered office street address entered on the form.
  4. The selected management label, copied from the current Articles.
  5. Any related management entry the current form expressly requests.
  6. The organizer name and signature information.
  7. The submission channel, such as the current online flow or the current paper form.

Use the worksheet as a review aid, not as a substitute for the Articles. The filed form is the item submitted to the state. The worksheet stays in the preparation file.

Review the packet before submission

Run a line-by-line check before the final submit step. Confirm that exactly one management choice is selected. Confirm that the mark is readable on a paper form. Confirm that the online review screen shows the choice you intended to enter. Confirm that the management entry did not change while another field was corrected.

Then review the surrounding Articles fields. Check the LLC name for spelling and required ending. Check the registered agent entry and Wyoming street address against the approved source. Check the organizer block and signature. Check that any required consent or supporting item in the current filing instructions is present before submission.

Save a copy of the completed review screen or completed paper form in the filing record. After submission, save the state receipt, confirmation, or stamped copy that the filing channel returns. Label the files with the LLC name and submission date so the management selection can be located without reopening an unrelated packet.

Keep separate documents separate

The management choice on the Articles does not submit an operating agreement. An operating agreement is a separate company document and is not attached merely because the Articles ask who manages the LLC. Keep the Articles, the submission receipt, and the company's separate documents in distinct labeled files.

If a later instruction calls for a different management selection, do not overwrite the copy of the submitted Articles. Preserve the submitted record and check the Secretary of State's current forms and instructions for the filing that applies to a later change. Use the current state form rather than editing an old Articles PDF and treating it as a new submission.

Common filing-desk mistakes

The most common errors are mechanical: leaving both choices blank, marking both choices, copying an answer from another LLC, mixing up the organizer and management blocks, or failing to save the final review screen. Another avoidable mistake is using a service label or internal shorthand instead of the wording on the state form.

A reliable filing desk slows down at the management field. Read the current label, compare it with the approved instruction, enter it once, and verify it again on the final review screen. If the instruction is not clear, the correct action is to stop before submission.
